Welcome to the Microsoft System Builder Rebate Program for Sri Lanka from July 1st, 2006 to September 30th, 2006. The program is designed to reward loyal System Builders for Microsoft OEM product license purchases and to help grow your business even further. Nothing in this program in any way restricts your support, promotion, distribution or use of any non-Microsoft software product.

If you agree to the Terms and Conditions, download and sign the Microsoft Code of Ethics and send to contact below before 15 September 2006.

Upon the close of the quarter, download and complete the Claim Form and send to contact below within one week after the close of the quarter.

Terms and Conditions

For this quarter (July 1st 2006 to September 30th, 2006, both dates inclusive), your participation in the Program is governed by these terms and conditions which include the Microsoft Code of Ethics ("Terms and Conditions"). The Terms and Conditions ensure the ongoing integrity of the Program is maintained. By signing and submitting the Claim Form, you acknowledge that you have read and agree with the Terms and Conditions of the Program.

1. Eligibility and Requirements

Silver Tier You will achieve Silver Tier if you meet the following requirements: i. Line of Business Order and pre-install a minimum of 75 (Seventy Five ) units of Microsoft® Windows® XP (Professional or Home Editions) desktop operating systems licenses from July 1st, 2006 to September 30th , 2006 - acquired through Microsoft Authorized OEM Distributor(s)* in Sri Lanka. ii. Agree, sign and submit the Microsoft Code of Ethics before 15 September 2006.

Gold Tier You will achieve Gold Tier if you meet the following requirements: i. Line of Business Order and pre-install a minimum of 500 (Five Hundred ) units of Microsoft® Windows® XP (Professional or Home Editions) desktop operating systems licenses from July1st 2006 to September 30th , 2006 - acquired through Microsoft Authorized OEM Distributor(s)* in Sri Lanka. ii. Agree, sign and submit the Microsoft Code of Ethics before 15 September 2006.

2. Purchases other than from Authorized OEM Distributors

• Purchases of Microsoft product licenses through any source other than an Authorized OEM Distributor in Sri Lanka are not eligible for consideration in your eligibility in the calculation of Rebates.
• Direct OEM Accounts are not eligible to participate in the Program.

3. Rebates

• The Table 1 below sets out the Cash Rebates for the products listed below purchased from an Authorised OEM Distributor* from July 1st, 2006 to September 30th, 2006 (both dates inclusive):

  • Purchases made in one quarter cannot be counted for subsequent quarters. The minimum requirement must be met before the relevant rebate is paid.
  • Your total cash rebate for the quarter is based on net purchases of product licenses made during such quarter. Product returns to the distributor may impact eligibility and total rebate, regardless of when the product was purchased or returned.
  • Cash rebates are calculated from the reporting provided to Microsoft by the Authorised OEM Distributors. Any discrepancies in the reports provided to Microsoft by the Authorised OEM Distributors must be taken up directly with the Distributor no later than 1 month after the close of the relevant quarter. No additional rebates will be paid after this time regardless of validity. Microsoft will rebate solely based on eligible product license purchases recorded in these reports. No correspondence on this matter will be entered into.
  • Cash rewards will only be made out to the qualifying "company name". No cheques will be made payable to individuals.
  • Microsoft reserves the right to change the minimum and incremental purchase requirements and rebates payable for any quarter. Such changes (if any) will be effected and posted on this website within the first week of such quarter.

Please note that no rebates will be paid to any System Builder that has not fulfilled all Eligibility Requirements and completed and submitted the claim form and Microsoft Code of Ethics by the specified dates.

4. Rebate Details

All Rebates are subject to the limitations set out in Section 2 and 3 above.

In order to simplify the payment process, we require you to complete the details in the Claim Form.

This allows for easy calculation of one total figure which will be paid within 6-8 weeks after the end of the quarter, provided we receive your completed Claim Form no later than 1 week after the end of the quarter.

To claim your rebates, simply follow these 3 steps:

• Read the Terms and Conditions (including the Microsoft Code of Ethics)
• If you agree to the Terms and Conditions, download and sign the Microsoft Code of Ethics and send to contact below before 15 September, 2006.
• Upon the close of the quarter, download and complete the Claim Form and send to contact below within one week after the close of the quarter.

5. Taxes

Microsoft shall not be liable for any taxes, including income taxes, withholdings and Goods and Services Tax (if applicable) or their equivalent, in connection with any payments made to you under this rebate program. All such taxes shall be borne by you. If taxes are required to be withheld on any amounts to be paid to you, Microsoft may deduct such amounts and pay them to the appropriate tax authority.

6. Microsoft Contracting Entity

This Microsoft® System Builder Rebate Program is offered by Microsoft Licensing, GP. Microsoft Licensing, GP may engage the services of one of its affiliates to disburse the rebates to the qualifying System Builders.
